Terms of Service
Effective date: March 11, 2025
1. Acceptance of Terms
By engaging Launchpad Web Solutions ("we," "us," or "our") — whether through our website, a signed proposal, or any verbal or written agreement — you ("Client") agree to be bound by these Terms of Service. If you do not agree, do not proceed with our services.
2. Services
Launchpad Web Solutions provides web design, web development, automation consulting, technical audits, and related digital services as described in individual project proposals or statements of work ("SOW"). Each engagement is governed by the specific SOW agreed upon between both parties.
3. Project Scope & Change Orders
Work performed will be limited to the scope defined in the applicable SOW. Any requests outside that scope — including additional pages, features, integrations, or revisions beyond the agreed revision limit — constitute a change order and will be quoted and billed separately. We reserve the right to pause work until a change order is approved in writing.
4. Payment Terms
- A non-refundable deposit of 50% of the total project fee is due before work begins.
- The remaining balance is due upon project completion, prior to final delivery or site launch.
- Invoices not paid within 15 days of the due date are subject to a 1.5% monthly late fee.
- Ongoing retainer or maintenance fees are billed monthly in advance and are non-refundable for the current billing period.
5. Intellectual Property
Upon receipt of final payment, the Client receives full ownership of all custom code, designs, and deliverables created specifically for their project. Launchpad Web Solutions retains the right to display completed work in our portfolio and marketing materials unless the Client requests otherwise in writing.
Third-party libraries, frameworks, fonts, stock assets, or plugins incorporated into your project remain subject to their respective licenses. We are not responsible for license violations arising from the Client's use of third-party assets they supply.
6. Client Responsibilities
Timely delivery of the project depends on Client cooperation. Clients agree to:
- Provide content, assets, credentials, and feedback within 5 business days of request.
- Designate a single primary point of contact.
- Obtain rights to all content, images, and materials submitted to us for use in the project.
Delays caused by late client feedback may result in revised timelines and, if exceeding 30 days of inactivity, may require a project restart fee.
7. Warranties & Disclaimers
We warrant that deliverables will function as described in the SOW at the time of delivery. We do not warrant uninterrupted or error-free operation after delivery, nor do we warrant compatibility with future third-party platform updates.
Services are provided "as is" beyond the warranty period defined in your SOW. We disclaim all implied warranties to the fullest extent permitted by law.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Launchpad Web Solutions's total liability for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.
We are not liable for indirect, incidental, consequential, or punitive damages — including lost profits, lost data, or business interruption — even if advised of the possibility of such damages.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement and not to disclose it to third parties without prior written consent. This obligation survives termination of the engagement.
10. Termination
Either party may terminate a project engagement with 14 days written notice. Upon termination:
- The Client owes payment for all work completed through the termination date, prorated against the project total.
- The initial deposit is non-refundable regardless of termination reason.
- Ownership of work in progress transfers to the Client only upon receipt of all outstanding payments.
11. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of Manatee County, Parrish, Florida, unless both parties agree to alternative dispute resolution.
12. Modifications
We reserve the right to update these Terms at any time. Material changes will be communicated via email or posted on this page with an updated effective date. Continued engagement with our services after changes constitutes acceptance of the updated Terms.
